Our Bylaws
ARTICLE 1. DUTIES OF OFFICERS AND BOARD MEMBERS
Section 1. The President shall preside at all meeting of the Peninsula Women's Network and perform all duties usually pertaining to that office. The President shall submit an annual report to membership.
Section 2. In the absence, disability or resignation of the President, the President‑elect shall perform all the duties of President. The President‑elect shall oversee all programs and social functions. The President shall appoint two directors to report to the first Vice President.
Section 3. There shall be two Vice Presidents:
a. First Vice President for Membership shall oversee the printing of the directory; registration at all functions; membership orientation; recruitment and retention. The President shall appoint two directors to report to the first Vice President.
b. Second Vice President for Communications shall oversee the production and distribution of the newsletter, is responsible for public relations for the Peninsula Women's Network and telephone communications, as required. The President shall appoint one member of the Board to report to the Second Vice President.
Section 4. The Secretary shall keep the minutes of all meetings of the Peninsula Women's Network, and process correspondence for the organization.
Section 5. The Treasurer shall oversee all monetary transactions, present financial statements at Board meetings, present a yearly fiscal report and a budget at the annual meeting.
ARTICLE 11. ELECTION OF OFFICERS
Section 1. All officers shall be elected at the annual meeting and assume office at the beginning of the fiscal year, July 1.
Section 2. The term of each office shall be one year with the exception of the Treasurer who will serve a two-year term.
Section 3. No member shall hold the same office more than two terms in succession. Filling an unexpired term shall not be considered a term of office.
Section 4. Should any officer resign during her term, the Board of Directors shall appoint a Board member to assume the office to fulfill the term.
Section 5. An officer must have been a member of the Peninsula Women's Network for one full year prior to election.
Section 6. No proxies shall be allowed in the election of officers.
ARTICLE III. BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of the five officers and eight members‑at‑large elected at the annual meeting.
Section 2. Terms for members‑at‑large shall be two years with half of them elected each year.
Section 3. The Board of Directors shall meet as is deemed necessary to conduct the business of the Peninsula Women's Network.
Section 4. A simple majority of the Board members shall constitute a quorum.
Section 5. No proxies shall be allowed.
Section 6. A director must have been a member of the Peninsula Women's Network for one full year prior to election.
Section 7. In the event of a Board vacancy, the Board of Directors will appoint a member of the Peninsula Women's Network to serve an interim term until the next annual meeting, at which time any unexpired term will be filled via election.
ARTICLE IV. MEMBERSHIP
Section 1. Membership in the Peninsula Women's Network shall be granted to those who pay annual dues and who support its purpose.
