ARTICLE 1. DUTIES OF OFFICERS AND BOARD MEMBERS

Section 1. The President shall preside at all meetings of the Peninsula Women’s Network and per­form all duties usually pertaining to that office. The President shall submit an annual report to mem­bership. The President shall appoint two directors to report to the First Vice President. 

Section 2. In the absence, disability or resignation of the President, the President elect shall perform all the duties of President. The President-elect shall oversee  and drive sponsorship. The President shall appoint three directors to report to the first Vice President.

Section 3. There shall be three Presidents:

a. First Vice for Programs shall oversee the programs they include social networking, education, community mixers, and special events. Four directors should be appointed for each program time (special programmer).  VP of Programs  is responsible to reporting all the details of the events including information for marketing pieces.

b. Second Vice President for Membership shall attend to assist with registration at all functions, membership orientation, recruitment and retention. The President shall appoint one directors to report to the second Vice President as Group Liaison.

c. Third Vice President for Communications shall oversee the production and distribution of the newsletter, media marketing and is responsible for public relations for the Peninsula Women’s Network and telephone and/or electronic communications, as required. The VP shall work directly with the contract administrator and all other BOD to collect, solicit information to be communicated to all members and new potential members.

Section 4. The Secretary shall keep the minutes of all meetings of the Peninsula Women’s Network, and process correspondence for the organization.

Section 5. The Treasurer shall oversee all monetary transactions, present financial statements at Board meetings, present a yearly fiscal report and a budget at the annual meeting.

ARTICLE 11. ELECTION OF OFFICERS

Section 1. All officers shall be elected at the annual meeting and assume office at the beginning of the fiscal year, July 1.

Section 2. The term of each office shall be one year with the exception of the Treasurer who will serve a two-year term.

Section 3. No member shall hold the same office more than two terms in succession. Filling an unex­pired term shall not be considered a term of office.

Section 4. Should any officer resign during her term, the Board of Directors shall appoint a Board member to assume the office to fulfill the term. Missing two out of 12 meetings during an officer’s term of office shall constitute a de facto resignation of the officer from her position.

Section 5. An officer must have been a member of the Peninsula Women’s Network for one full year prior to election.

Section 6. No proxies shall be allowed in the election of officers.

Section 7.  The President shall appoint two board members to hold positions as Parliamentarian and Historian.

ARTICLE III. BOARD OF DIRECTORS

Section 1. The Board of Directors shall consist of the six officers and eight members at large elected at the annual meeting.

Section 2. Terms for members at large shall be two years with half of them elected each year.

Section 3. The Board of Directors shall meet as is deemed necessary to conduct the business of the Peninsula Women’s Network.

Section 4. A simple majority of the Board members shall constitute a quorum.

Section 5. No proxies shall be allowed.

Section 6. A director must have been a member of the Peninsula Women’s Network for one full year prior to election.

Section 7. In the event of a Board vacancy, the Board of Directors will appoint a member of the Pen­insula Women’s Network to serve an interim term until the next annual meeting, at which time any unexpired term will be filled via election.

Section 8. Missing two out of 12 meetings during a director’s term of office shall constitute a de facto resignation of the director from her position.

Section 9. The immediate Past President shall serve as an ex officio member of the Board.

ARTICLE IV. MEMBERSHIP

Section 1. Membership in the Peninsula Women’s Network shall be granted to those who pay annual dues, who support its purpose, and who adhere to the PWN Ethical Standards and Conduct as adopted/revised by the PWN Board of Directors..

ARTICLE V. AWARDS

Section 1. The PWN Board will adopt a policy for establishing the criteria and procedure for selecting the Networker of the Year Award.
